1. Who you are contracting with
LocalAI (“LocalAI”, “the Service”) is operated by UDI (“we”, “us”, “our”), trading as LocalAI. By using the Service you enter into an agreement with UDI. If you use LocalAI on behalf of an organisation, you confirm you have authority to bind it; if you use it as an individual, you confirm you are of legal age in your country.
2. Acceptance of these terms
By accessing, creating an account on, or continuing to use LocalAI, you agree to these terms. If you do not agree, please stop using the Service.
3. What LocalAI does
LocalAI is an AI assistant that helps you discover places, restaurants, menus, services and activities using natural language. It combines large language models with third party place data (including Google Maps Platform) to produce match scores, review summaries, menus and itineraries.
4. Your account
You are responsible for keeping your login credentials confidential and for all activity under your account. Please provide accurate information and keep it up to date, and tell us promptly of any unauthorised use.
5. Licence and restrictions
We grant you a limited, non-exclusive, non-transferable right to use LocalAI within the plan or credit balance you have selected. You may not reverse engineer the Service, resell or redistribute it, or circumvent technical or usage limits (including credit allowances).
6. Acceptable use
You must not misuse LocalAI. In particular you must not: use it unlawfully; commit fraud or send spam; infringe intellectual property or privacy rights; or interfere with its security (including malware, probing, penetration testing, automated scraping or excessive automated querying).
7. AI outputs, prompts and content
LocalAI is a generative AI product. You are responsible for the prompts you submit, for having the rights to any content you provide, for how you use outputs, and for verifying accuracy before relying on them. You must not use LocalAI to generate illegal content, deepfakes, harassment or hate speech, malware, or to jailbreak or bypass safety controls. We may filter, refuse, restrict or remove content and outputs, and we may suspend accounts that break these rules. Rights holders can contact us at the address below to request takedown of infringing content; repeat infringers lose access. Outputs (including opening hours, prices, menus and reviews) may be inaccurate or out of date and are not professional, legal, medical, financial or safety advice — always confirm important details with the venue.
8. Your content
You keep ownership of the content you submit. You grant UDI a limited licence to host and process it solely to operate and provide the Service.
9. Our intellectual property
UDI retains all ownership of LocalAI, including its software, models, prompts, documentation, design and branding. Third party place data remains the property of its providers and is shown subject to their terms.
10. Payments, plans and billing
Paid plans and search credit packs are described on our pricing page. Payment, billing, currency, tax, invoicing, cancellation and refund mechanics are handled by Paddle and governed by the Paddle Buyer Terms. Subscriptions renew automatically at the interval you chose until cancelled. Upgrades take effect immediately and are pro-rated; downgrades and cancellations take effect at your next renewal. Refunds are covered by our refund policy.
11. Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
12. Service availability
We work to keep LocalAI reliable, but we do not guarantee uninterrupted or error-free performance. Features, models and third party data sources may change or be withdrawn.
13. Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using LocalAI at any time. On termination your access ends; you may export your saved data for 30 days, after which it may be deleted.
14. Warranties and liability
To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, consequential or special damages, including loss of profits, data or goodwill. Our total aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.
15. Indemnity
You will indemnify UDI against claims arising from your content, your unlawful use of the Service, or your breach of these terms.
16. General
You may not assign your rights without our consent; we may assign ours in a merger, acquisition or reorganisation. Neither party is liable for delays caused by events beyond reasonable control. These terms are governed by the laws of the jurisdiction in which UDI is established, and its courts have exclusive jurisdiction, subject to any mandatory consumer rights in your country.
